Job Description:
This position will be a dual legal counsel role of supporting CGO and business operations.
Coordinates and assist board meetings and AGM related matters and agenda preparations.Assists CGO for high profile issues related to Board accountability and shareholder rights and anticipates response from regulators, shareholder rights groups, the media and general public.Participates in regulatory, corporate governance, and organizational structure review forums and other working groups to build understanding of applicable regulations and influence internal policies.Provide implementation plans for company to comply with regulatory and policy changes, inclusive of risk review and controls assessment.Serve as a legal counsel to supporting HTC and its affiliates’ business teams on a wide array of matters including commercial transactions, content and IP licensing, business operations and related regulatory issues.Draft and negotiate a variety of complex agreements across a broad range of areas including product development, services, sales and distribution to enterprise clients or end users, content licensing, services platforms, and more.Perform legal research and risk analysis for new business initiatives, and provide business-orientated counsel and guidance on interpretation of laws, policies and contract provisions.Develop and maintain expert knowledge on new developments relevant to the business segments being supported.Help identify, develop and implement improvements to policies, templates and processes to promote efficiency and internal alignment.Manage outside counsel within agreed policy and budget.
Basic qualifications:
Licensed to practice law in Taiwan. (US bar license is a plus)3+ years of experience as an attorney or in-house legal counsel, experience of legal compliance, internal audit, finance, stock affair or governance officer is preferred.Strong communication, analytical and computer skills.In-depth knowledge of corporate law and security related regulations.Excellent writing and communication skills in both English and Mandarin Chinese.
